Terms of Service
Effective date: 30 August 2026 Last updated: 30 August 2026
These terms govern access to and use of the JunoIQ platform. They form an agreement between JunoIQ Oy ("JunoIQ", "we", "us", or "our") and the organisation that subscribes to the Services ("Customer", "you", or "your").
By signing an Order Form, or by accessing the Services, you accept these terms. If you are accepting them on behalf of an organisation, you confirm you have authority to bind that organisation.
The Services are for business use. They are not offered to consumers, and nothing here is intended to limit rights that cannot be limited by law.
1. The Services
JunoIQ provides a B2B SaaS platform for sustainability validation and intelligence in the fashion and retail sector, together with our website and any related services we make available to you (the "Services").
The Services produce assessments, scores and comparisons of brands and products from public evidence and from data you supply. Section 6 sets out what those outputs are, and what they are not.
2. Accounts and access
You may allow your employees and contractors ("Users") to use the Services. You are responsible for their use, for keeping credentials confidential, and for telling us promptly if you believe an account has been compromised.
Access is licensed, not sold. Subject to these terms and to payment of the applicable fees, we grant you a non-exclusive, non-transferable right to use the Services during the subscription term for your internal business purposes.
3. Acceptable use
You must not, and must not permit anyone else to:
- Resell, sublicense or otherwise make the Services available to a third party, except as expressly permitted in your Order Form
- Copy, scrape or systematically extract the platform's data other than through features we provide for that purpose
- Reverse engineer the Services, or attempt to derive our scoring methodology other than from what we publish
- Upload material that is unlawful, infringing, or that you have no right to supply to us
- Interfere with the integrity, security or performance of the Services
- Use the Services to build a competing product or service
We may suspend access where use presents a security risk, is unlawful, or materially breaches this section. Where practical we will tell you first and give you a chance to put it right.
4. Your data
You keep all rights in the data you supply ("Customer Data"). You grant us the rights needed to host, process and display it in order to provide the Services, and to maintain their security and reliability.
You are responsible for having the right to supply Customer Data to us and for its accuracy.
Personal data is handled as described in our Privacy Policy, and, where we process personal data on your instructions, under the data processing terms that form part of your agreement with us.
5. Our intellectual property
The Services, the IQx methodology, our software, and all assessments, scores and materials we generate remain our property or that of our licensors. Nothing in these terms transfers ownership of them to you.
Where we publish a methodology, we do so for transparency. Publication does not license you to reproduce it commercially.
You may use outputs of the Services internally, and share them with your own suppliers and advisers where doing so serves your use of the Services. Public redistribution of scores or assessments requires our written agreement.
6. Nature of the outputs
This section matters, so it is stated plainly.
Assessments are produced from public evidence, from certification records, and from data supplied to us. Every fact behind a score is recorded with its source, and a person confirms it before it counts. We take care over that process, and we publish the method by which it works.
Even so:
- Scores are assessments, not certifications. We are not a certification body and we do not issue certificates.
- Outputs describe evidence as it stood when it was checked. Evidence goes out of date, and the platform flags when it has.
- Outputs are not legal, regulatory, financial or investment advice. Decisions about compliance with the EU Green Claims Directive, CSRD, the Digital Product Passport or any other regime remain yours, and you should take your own advice on them.
- We do not warrant that a brand's own disclosures are accurate. We record what the evidence shows and who checked it.
You are responsible for the commercial decisions you take using the Services.
7. Third-party sources and services
The Services draw on third-party sources, including certifier registers and public disclosures, and rely on third-party infrastructure. We are not responsible for those sources' own accuracy or availability, but we will tell you what a fact came from so you can judge it.
8. Fees
Fees, the subscription term and the billing cycle are set out in your Order Form. Fees are exclusive of VAT and other applicable taxes.
Invoices are payable within the period stated on the invoice. We may charge statutory interest on late payment, and may suspend the Services for material non-payment that is not remedied after written notice.
Fees for a renewal term may change; we will give at least 60 days' notice before a renewal takes effect at a new rate.
9. Term, renewal and termination
The subscription runs for the term in your Order Form and renews for successive equivalent terms unless either party gives notice not to renew at least 30 days before the end of the current term.
Either party may terminate for material breach that is not remedied within 30 days of written notice, or immediately if the other becomes insolvent.
On termination, access ends and each party returns or deletes the other's confidential information. You may export Customer Data during the subscription and for 30 days afterwards, after which we may delete it in line with our retention and backup policies.
10. Confidentiality
Each party will protect the other's confidential information with at least reasonable care, use it only for the purposes of the agreement, and disclose it only to people who need it and are under equivalent obligations. This does not apply to information that is public through no fault of the recipient, independently developed, or required to be disclosed by law.
11. Availability and support
We aim to keep the Services available and to support them during Finnish business hours. Where your Order Form includes a service level, that document governs. Planned maintenance is notified in advance where we reasonably can.
12. Warranties
We warrant that we will provide the Services with reasonable skill and care, and that we have the right to grant the rights we grant here.
Except as stated in these terms and to the extent permitted by law, the Services are provided without further warranty, including any implied warranty of merchantability, fitness for a particular purpose, or uninterrupted or error-free operation.
13. Limitation of liability
Neither party excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be excluded by law.
Subject to that, neither party is liable for indirect or consequential loss, or for loss of profit, revenue, anticipated savings, goodwill or business opportunity, however arising.
Subject to the paragraphs above, each party's total liability arising out of or in connection with the agreement in any twelve-month period is limited to the fees paid or payable by you for the Services in that period.
14. Indemnity
We will defend you against a third-party claim that the Services infringe that party's intellectual property rights, and pay damages finally awarded, provided you tell us promptly, let us control the defence, and give us reasonable assistance.
You will defend us on the same terms against a third-party claim arising from Customer Data or from use of the Services in breach of Section 3.
15. Changes to the Services and to these terms
We continue to develop the Services and may change features, provided we do not materially reduce their overall functionality during a paid term.
We may update these terms. Material changes take effect at your next renewal, or on 30 days' notice, and the "Last updated" date above will change. Continued use after that constitutes acceptance.
16. General
Neither party may assign the agreement without the other's consent, except to a successor of substantially all of its business.
Neither party is liable for delay or failure caused by events beyond its reasonable control.
If a provision is held unenforceable, the rest remains in force.
The agreement, comprising these terms, your Order Form and any data processing terms, is the entire agreement between us on its subject matter and supersedes earlier discussions.
17. Governing law
These terms are governed by the laws of Finland, without regard to conflict of law rules. The courts of Helsinki, Finland have exclusive jurisdiction, save that either party may seek injunctive relief in any competent court.
